Terms and Conditions

1. ACCEPTANCE OF TERMS

By accessing and using the 710 Angels website and platform (the "Platform"), you agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any part of these terms, you should not use the Platform.


2. DESCRIPTION OF SERVICE

710 Angels is a dedicated platform connecting pre-seed and seed-stage startups with accredited angel investors. The Platform facilitates introductions, networking opportunities, and information sharing between entrepreneurs and investors. However, 710 Angels does not directly manage investments, provide investment advice, or execute transactions on behalf of users.


3. USER ELIGIBILITY

Investors: You must be an accredited investor as defined by applicable securities regulations in your jurisdiction.

Entrepreneurs: You must represent a legitimate any-stage venture at the pre-seed or seed stage.

All Users: You must be at least 18 years of age and have the legal capacity to enter into binding agreements.


4. INVESTMENT DISCLAIMERS

710 Angels does NOT:

• Provide investment advice or recommendations

• Guarantee investment returns or funding success  

• Directly execute or manage investment transactions

• Take responsibility for individual investment decisions

Investments in any stage companies carry substantial risk, including the potential for total loss of capital. All investment decisions are made solely by individual investors and entrepreneurs at their own risk.


5. USER REPRESENTATIONS AND WARRANTIES

By using our Platform, you represent and warrant that:

• All information you provide is accurate and truthful

• You have the authority to enter into binding agreements

• You understand and accept the risks of early-stage investing

• You will comply with all applicable securities laws

6. LIABILITY LIMITATIONS

To the maximum extent permitted by law, 710 Angels shall not be liable for direct, indirect, incidental, special, or consequential damages, lost profits, revenue, or business opportunities arising from your use of the Platform.


7. DISPUTE RESOLUTION

Any disputes arising from these Terms and Conditions or your use of the Platform shall be governed by the laws of British Columbia, Canada, and resolved through good faith negotiation or mediation.


8. MODIFICATION OF TERMS

710 Angels reserves the right to modify these Terms and Conditions at any time. Continued use of the Platform following any modifications constitutes your acceptance of the updated terms.

9. INTELLECTUAL PROPERTY RIGHTS

710 Angels and its licensors retain all rights, title, and interest in the Platform, including all intellectual property rights. This includes but is not limited to the website design, software, content, logos, trademarks, and branding. You may not reproduce, distribute, transmit, or display any content from the Platform without prior written permission from 710 Angels. Any unauthorized use of trademarks or intellectual property may result in legal action.

10. CONFIDENTIALITY

Users acknowledge that sensitive business information, including startup pitch decks, financial data, and business plans, may be shared through the Platform. 710 Angels requires all users to maintain strict confidentiality regarding this information. You agree not to disclose, copy, or misuse confidential information shared by other users without explicit written consent. Violation of confidentiality may result in immediate account termination and legal consequences.

11. DATA PRIVACY AND SECURITY

Your use of the Platform is also governed by our Privacy Policy. We collect and process personal and financial information in accordance with applicable privacy laws. 710 Angels implements industry-standard security measures to protect user data; however, no system is completely secure. We cannot guarantee the absolute security of your information. You are responsible for maintaining the confidentiality of your login credentials and account information.

12. PROHIBITED USER CONDUCT

You agree not to use the Platform to:

• Engage in fraudulent, deceptive, or illegal activities.

• Misrepresent your identity or qualifications, including accredited investor status.

• Harass, threaten, or abuse other users.

• Submit false or misleading information in pitch materials or investor profiles.

• Attempt to gain unauthorized access to the Platform or other user accounts.

• Use automated systems (bots, scrapers) to access or extract data.

• Post spam, viruses, or malicious code.

• Violate any applicable securities laws or regulationsViolation of these prohibitions may result in immediate account suspension or termination.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless 710 Angels, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from or related to:

• Your use of the Platform

• Your violation of these Terms and Conditions

• Your violation of any applicable law or regulation

• Investment decisions or transactions you make based on information obtained through the Platform

• Disputes between you and other users of the Platform

14. TERMINATION OF ACCOUNT

710 Angels reserves the right to suspend or terminate your account at any time for:

• Violation of these Terms and Conditions

• Misrepresentation of accredited investor status or business legitimacy

• Engagement in prohibited conduct

• Suspected fraudulent or illegal activity

• Non-compliance with securities regulations

• At our sole discretion if we believe continuation poses a legal or reputational risk

Upon termination, your right to access the Platform ceases immediately. Outstanding transactions and obligations remain in effect.

15. SEVERABILITY

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect. The invalidity of one section does not affect the validity of others.

16. ENTIRE AGREEMENT

These Terms and Conditions, together with our Privacy Policy, constitute the entire and exclusive agreement between you and 710 Angels regarding the Platform and supersede all prior negotiations, understandings, and agreements, whether written or oral.

17. FORCE MAJEURE

710 Angels shall not be liable for any failure or delay in performing its obligations under these Terms and Conditions if such failure or delay is caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, war, government actions, or internet outages. 710 Angels will resume performance as soon as reasonably practicable after such events.
